Senior Paralegal

ABOUT THE ROLE:

We are seeking a highly motivated and detail-oriented Senior Paralegal to join our legal team. As a key member of our legal department, you will provide support and assistance with various legal matters, contracts, and compliance issues. This is an excellent opportunity for a legal professional to gain valuable experience in a fast-paced tech environment.

RESPONSIBILITIES:

Contract Drafting, Review and Negotiation: 

  • With oversight from the CLO, draft, review, negotiate and revise a variety of contracts including:
    • Client data license agreement with advertisers, advertising agencies, television networks, publishers, and social media platforms
    • NDAs
  • Compare incoming signed contracts against official drafts to ensure consistency
  • Maintain contract repository in Salesforce 
  • Guide field personnel regarding the use of templates
  • Maintenance of templates and template library

Corporate Governance 

  • Assist Corporate Secretary with managing drafts of minutes for Board of Directors meetings by circulating, finalizing and filing minutes 
  • Maintain Corporate Records, such as the filing of governing documents, corporate registrations, and IP inventory 
  • Manage monthly Operating Committee meetings including soliciting agenda items, chairing the meeting, and taking and distributing notes to attendees

Legal Compliance: 

  • Assist CLO in ensuring compliance with applicable laws, regulations, and industry standards 
  • Alert CLO on changes discerned in relevant laws and regulations 

Legal Support for Marketing: 

  • Legal review of press releases and other public communications
  • Review and assess risks on contracts for Marketing-related matters such as conferences, presentations and publications

Legal Support for Product: 

  • Support CLO in development of a templates for the license of data
  • Contribute legal and business advice for product roll-out

Legal Support and Project Management for Privacy & Security

  • Assist in gathering and articulating responses to data security and privacy assessments from clients and other third parties 
  • Project manage security audits from third parties to ensure internal personnel stay on task and on schedule
  • Coordinate the scheduling of audit sessions with key stakeholders and external auditors, and upload responses and evidence to auditor secure link 
EXPERIENCE:
  • 5+ years of experience in a legal role, preferably in a corporate or tech environment (internship experience will be considered). 
  • Experience in data industries or ad tech is a plus. 
  • Solid understanding of contract law and legal principles. 
  • Excellent written and verbal communication skills. 
  • Ability to work independently and collaboratively in a fast-paced environment. 
  • Strong analytical and problem-solving skills. 
  • Detail-oriented with excellent organizational and time management skills.
POSITION QUALIFICATIONS:
  • Paralegal certification is preferred. 

A reasonable estimate of salary range for a new employee to be offered this role would be between $70,000 – $115,000, which would be adjusted based on each employee’s geographic location.  The position of each employee within a compensation range at NCS is dependent on several individual circumstances, such as experience, training, certifications and other business requirements/needs.
